Terms of Service

Welcome to Techpam ("Techpam," "we," "us," or "our"), operated by [Techpam Inc. — legal entity name], a company established under the laws of the Province of Quebec, Canada, with its registered office at 1235 Rue Notre-Dame O, Montreal, QC H3C 0B1, through the website located at Techpam.site (the "Site") and any related applications, dashboards, and features (collectively, the "Service").

These Terms of Service ("Terms") form a binding legal agreement between you ("you," "User," or "your") and Techpam. They govern your access to and use of the Service, including our social media management, scheduling, publishing, and analytics tools. Please read these Terms carefully before using the Service. By creating an account, clicking "I Agree," or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Service.

1. Acceptance of Terms

1.1 By registering for or using Techpam, you represent and warrant that:

  • you are at least eighteen (18) years of age, or the age of majority in your province or territory of residence, whichever is greater;
  • you have the legal capacity and authority to enter into this agreement, whether on your own behalf or on behalf of an organization you represent; and
  • your use of the Service will comply with all applicable laws, including the terms of service, developer policies, and API agreements of any third-party social media platform you connect to Techpam.

1.2 If you are using the Service on behalf of a company, agency, or other entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

2. Description of Service

2.1 Techpam provides a platform that allows Users to connect, manage, schedule, publish, and analyze content across supported third-party social media networks, currently including Facebook, Instagram, X (Twitter), LinkedIn, TikTok, and YouTube (each, a "Connected Platform"), from a single dashboard.

2.2 Techpam's features may include content scheduling and publishing, performance analytics and reporting, multi-account management, team collaboration tools, and AI-assisted content and automation features. Not all features are available in every subscription tier, and features may be added, modified, or discontinued at our discretion, with notice where reasonably practicable.

2.3 Techpam is an independent platform and is not endorsed by, affiliated with, or sponsored by Meta, X Corp., LinkedIn, TikTok, YouTube/Google, or any other third-party platform, except as expressly authorized under their respective developer or API terms.

3. Connecting Your Social Media Accounts (Authentication and Authorization)

3.1 How account connection works. To manage a social media account through Techpam, you must connect it using the official authentication process ("OAuth" or an equivalent secure authorization protocol) provided by each Connected Platform. When you choose to connect an account:

  • you will be redirected to the Connected Platform's own official login and permissions screen;
  • you authenticate directly with the Connected Platform using your own credentials — Techpam never sees, receives, or stores your social media account password;
  • once you approve the requested permissions, the Connected Platform generates a secure authorization link (a "callback" or "redirect URI") which it uses to validate the connection and issue Techpam a limited, revocable access token or credential; and
  • Techpam uses that token solely to perform the actions you authorize (such as publishing posts or retrieving analytics) on your behalf, and solely to the extent permitted by the scope of permissions you granted and by the Connected Platform's own developer and API terms.

3.2 Your responsibility. You are solely responsible for the accuracy of the permissions you grant, for reviewing each Connected Platform's own terms of service, privacy policy, and API/developer policies, and for any content published, scheduled, deleted, or otherwise actioned through your Connected Platforms via Techpam, whether initiated by you or by a team member you have authorized on your account.

3.3 Revocation. You may disconnect a Connected Platform, or revoke Techpam's access, at any time through your Techpam account settings or directly through the Connected Platform's own security or application settings. Disconnection will stop future actions but does not retroactively undo actions already taken while the connection was active.

3.4 Platform changes outside our control. Connected Platforms may change, suspend, restrict, or discontinue their APIs, authentication methods, or developer access at any time and without notice to Techpam. Techpam is not responsible for any interruption, loss of functionality, loss of data, or loss of access resulting from such third-party changes.

3.5 Google/YouTube data. If you connect a YouTube or other Google-based account, Techpam's use of information received from Google APIs will additionally comply with the Google API Services User Data Policy, including its Limited Use requirements, and such data will also be subject to the Google Privacy Policy.

4. Account Registration

4.1 To access most features of the Service, you must create a Techpam account. You agree to:

  • provide accurate, current, and complete information during registration and to promptly update it as needed;
  • maintain the confidentiality of your login credentials and any multi-factor authentication method associated with your account; and
  • immediately notify us at support@techpam.site of any unauthorized use of your account or any other security breach.

4.2 You are responsible for all activity that occurs under your account, whether authorized by you or not, except to the extent caused by Techpam's own gross negligence or willful misconduct. Techpam is not liable for any loss or damage arising from unauthorized access to your account resulting from your failure to safeguard your credentials.

5. Subscription Plans and Billing

5.1 Plans. Certain features of the Service require a paid subscription ("Plan"). Current Plans, their features, and pricing are described on the Site at the time of purchase. All prices are shown in Canadian dollars (CAD) unless otherwise stated and are exclusive of applicable federal and provincial taxes (including GST/QST), which will be added at checkout where required by law.

5.2 Payment processing. Payments are processed securely by our third-party payment processors. Techpam does not store your full payment card details. By providing payment information, you authorize us and our payment processor to charge the applicable fees to your chosen payment method.

5.3 Automatic renewal. Unless cancelled before the end of the applicable billing period, subscriptions automatically renew for successive periods of the same length, at the then-current price. Where required under applicable Quebec or Canadian consumer protection law, we will provide advance notice before a fixed-term subscription automatically renews.

5.4 Cancellation. You may cancel your subscription at any time through your account settings, effective at the end of the then-current billing period. Cancellation does not entitle you to a refund for the remainder of the current billing period, except as described below or as required by law.

5.5 Refunds. Refunds are provided at our discretion, except where a refund is required by applicable law, including the Quebec Consumer Protection Act. Nothing in this Section limits any statutory right of withdrawal or remedy that cannot lawfully be waived under applicable consumer protection legislation.

5.6 Price changes. We may change our Plan pricing from time to time. Any price change will apply from your next renewal date onward and will not affect a billing period you have already paid for, and we will provide reasonable advance notice of any price increase.

6. Acceptable Use

You agree not to use the Service to:

  • post, schedule, or distribute content that is unlawful, defamatory, fraudulent, obscene, hateful, or that infringes the rights of any third party;
  • violate the terms of service, community guidelines, or API policies of any Connected Platform;
  • attempt to gain unauthorized access to, disrupt, overload, or reverse-engineer the Service or its underlying infrastructure;
  • use unauthorized bots, scrapers, or automation tools to interact with the Service outside of its intended functionality;
  • misrepresent your identity or affiliation, or impersonate any person or entity; or
  • use the Service in any manner that could give rise to civil or criminal liability under the laws of Canada or any other applicable jurisdiction.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this Section, including suspending or terminating an account and reporting conduct to law enforcement or affected third parties where appropriate.

7. Intellectual Property

7.1 The Service, including its software, design, text, graphics, logos, and the "Techpam" name and marks, is owned by or licensed to Techpam and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

7.2 Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your own internal business or personal purposes. You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service without our prior written consent.

7.3 As between you and Techpam, you retain all ownership rights in the content you create, upload, or schedule through the Service ("Your Content"). You grant Techpam a limited, non-exclusive licence to host, store, transmit, and process Your Content solely as necessary to provide the Service to you, including publishing it to your Connected Platforms at your direction.

8. Third-Party Platforms and Services

The Service integrates with, and depends on, third-party social media platforms and other services that we do not control. Your use of any Connected Platform remains subject to that platform's own terms of service and privacy policy. Techpam is not responsible for the content, availability, security practices, or actions of any third-party platform, and we make no warranty regarding their continued availability or compatibility with the Service.

9. Privacy and Personal Information

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, disclose, and safeguard personal information in accordance with applicable Canadian privacy law, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and, for residents of Quebec, the Act Respecting the Protection of Personal Information in the Private Sector. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

10. Term, Suspension, and Termination

10.1 These Terms remain in effect for as long as you use the Service.

10.2 We may suspend or terminate your access to the Service, in whole or in part, with notice where reasonably practicable, if we reasonably believe you have violated these Terms, created risk or possible legal exposure for Techpam, or engaged in fraudulent or unlawful conduct.

10.3 You may terminate your account at any time by cancelling your subscription and closing your account through the Site or by contacting us. Upon termination, your right to access the Service will immediately cease, though certain provisions of these Terms (including Sections 7, 9, 11, 12, 13, and 15) will survive termination.

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or fully secure, or that it will remain compatible with any Connected Platform's evolving APIs.

Nothing in this Section is intended to exclude or limit any warranty, condition, or right that cannot lawfully be excluded or limited under the Quebec Consumer Protection Act or other applicable Canadian consumer protection legislation, including the legal warranty of quality.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Techpam and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.

Subject to applicable law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the total amount you paid to Techpam in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded under the Quebec Consumer Protection Act, PIPEDA, or other mandatory Canadian law, including liability for death, personal injury, gross negligence, or willful misconduct.

13. Indemnification

You agree to indemnify, defend, and hold harmless Techpam and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your breach of these Terms, your misuse of the Service, or your violation of any third-party right, including the rights of a Connected Platform.

14. Dispute Resolution and Governing Law

14.1 These Terms, and any dispute arising out of or relating to them or to the Service, are governed by and construed in accordance with the laws of the Province of Quebec and the applicable federal laws of Canada, without regard to conflict-of-law principles.

14.2 If you are a consumer within the meaning of the Quebec Consumer Protection Act, any legal proceeding relating to these Terms may be brought before the court having jurisdiction in the judicial district where you reside, and nothing in these Terms limits any right or recourse that the Act grants you, including your right to participate in a class action. For all other users, the parties attorn to the exclusive jurisdiction of the courts located in [Insert City], Quebec.

14.3 Before initiating formal proceedings, we encourage you to contact us at support@techpam.site so that we may attempt to resolve the dispute informally and in good faith.

15. Language Clause / Clause linguistique

The parties confirm that they have requested that these Terms and all related documents be drawn up in English. A French-language version of these Terms is available upon request, and Quebec residents may request it before or after agreeing to these Terms, in accordance with the Charter of the French Language.

16. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service, legal or regulatory requirements, or business practices. We will post the revised Terms on this page with an updated "Last Updated" date and, for material changes, will provide reasonable advance notice (such as by email or an in-product notice). Your continued use of the Service after a revised version takes effect constitutes your acceptance of the updated Terms.

17. General Provisions

17.1 Entire Agreement. These Terms, together with our Privacy Policy and any Plan-specific terms, constitute the entire agreement between you and Techpam regarding the Service and supersede any prior agreements.

17.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

17.3 No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

17.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.

17.5 Force Majeure. Neither party will be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, internet or telecommunications failures, or third-party platform outages.
